"The member of the company who is desires to transfer his shares shall give notice in writing to the Board of Directors mentioning therein the price that he expects for his shares."

One of Company created in 2000, neither done any transaction in it nor filled any return.
So,It became dormant company.
Now in current FY it wants to file the return by fullfilling form 61 of ROC.
Whether after Form 61 all previous years return can be filled and what may be consequences?

Dear experts,

In a Private Company there are 3 directors say Mr A, Mr B & Mr C.
Now Mr. C wishes to resign from the office of the director. he tenders his resignation.

Board calls a meeting in which all of them are present to approve his resignation.

now my question is, while preparing minutes, should I write Mr C's (who has given a resignation letter) name below Directors present or below in attendance??
is it necessary to sign the attendance register to Mr C?

pls help in this regard

can a private company take a loan from an outsider?
if no then what are the consequences and penalties if the loan is taken.

i read sec. 256(4) but sir i am in confusion that if company expressly resolved not to filled the vacancy than sir is there any requirement to appoint director.
