can any one help me in procedural matters for appointment of director in a private limited company......
Can i appoint the director through board resolution only?
if yes, is it necessary to file resolution with ROC in e form 23?
and what if mine is a public limited company?

A is an Pvt. ltd company incorporate in India, 49% of which held by foreign company (Called B), 26 % held by another foreign company (called C) and remaining 25% is held by Indian company( Called D)

26% capital of C held by Indian company and remaining 74% held by foreign company.


Finally query is whether A is Indian company or foreign company

As per Sec 108 of Company Act validity of share Transfer deed two Months( unlisted Company)from the date of present in Company.

Q1. What is the meaning of presenting Date?
Q2. If Transfer deed date is 15-09-2009 duly stamped and Singed by both the parties, present before the company 15-07-2010 is it valid ? is it valid for 14-09-2010?

Has anyone uploaded form 23ACA this time?

I am preparing an Annual report for the listed company. In this regards, I am giving the details of performance of sector in which my company pertaining to taking source from- FICCI-KPMG report.

I want to know can I take the information from source - FICCI-KPMG report and give in my Annual report or there any copy rights associated with it and also while going to KPMG site nowhere I found any disclaimer regarding this.

We have a Company ABC ltd. who is having MD named A. We have associate company XYZ Pvt. Ltd and its subsidary BBC pvt. ltd. It is proposed that Mr. A be appointed as M.D in both these private companies and Mr. A will continue to be MD of the public company ABC ltd.

My query is that, inorder to obtain approval of Central Government as per section 316 (4), e-form 25A is required to be filed. In this case which company is required to file form ?

Whether ABC Ltd which is a public company should file it? OR
The Private ltd. company in which Mr. A is to be appointed is required to take approval under eform 25A ?
