What is the procedure to be followed to create a nominee of the shareholder of a private ltd. Company

What are the requirments for transfer of shares of a private ltd company....are there any roc compliances

am not understanding the exact difference between Book closure date & Record date. Since both the terms are used nterchangeably..

Sir,
i want to know that in a private limited company want to remove a director but he is not ready to sign the resignation letter, than what is the procedure for it.
I had already deliver 3 board meeting notice to him on his postal address and he is not attend the board meeting, so pls could you tell me the procedure after that and also send me the sample of resolution for cease the director which will be passed in the meeting.

Please Correct me if i am wrong: that Share Transfer deeds are to be preserved permanently

Can a Government employee be an executive Director in a Pvt Ltd company during their job period...pls rply..

Sir may it possible that date of appointment and date of removal be the same ???

If is it possible then who will sign the form digitally whether is he resigning director or appointing director??

Dear Sir / Ma'am,
We have to resign 3 directors of a limited company and also appoint 3 new directors in the same company then can we file SINGLE form 32 for both the cases i.e. for appointment and for cessesation.

Or we have to file Form 32 separetly for appointment and for removal.

Please advice me as soon as possible.
