private limited company not conducted its AGM with in due date i.e by september, and it also not taken any extension for AGM, now they want to conduct AGM. I want to know whether they can conduct AGM now and what are the Steps to be followed, and will directors liable for this ? (is it same if it a newley incorporated company )

Hi, Myself Ankur Garg, n i m working in a recruitment pvt. ltd. co., one of our Director wants to be on the same position (Director) as he is, but he doesn't want to be on the payroll of the company, he wants to act as a professional consultant, is it possible as per the company law if yes then how? and what are the formalities should be done for this?

We had started a Company in 02/06/11.100 share @ Rs.1000 issued and return filed.And we alotted another 700 shares but not file the return.The company has not yet start any work.

I am having a Proprietorship firm, which I have already registered it under Delhi Shop & Commercial Establishment Act. This registration I have done on my residential premises or my Residence office but I am operating it from another location/office which exist in UP.
Now my ques. arises that should I need another registration under UP Shop & Commercial Establishment or what?

What should be the quorum of the board meeting of the private limited company if there are only 3 directors on the board and only 2 are present for a board meeting and nothing is mentioned in MOA/AOA regarding the quorum.

if the meeting has been adjourned bcoz of quorum and in the adjourned meeting also the quorum was not present, then what will be the validity of the adjourned meeting?
