my company is a private co. wid two directors. now, i want to resign both those 2 directors. in place of them i want to appoint two new directors. can i file a single form32. if not so, then can u explain me the full procedure.

A Company retire its auditor in 29 Sept 2012 and appoint new auditor in his place to account audit for the financial year 2011-2012 as well as 2012-13. Now the accounts has been audited by the new auditor for 11-12. Now my query is 23B for 11-12 will get filled or not?
If yes then whose auditor name is being mentioned i.e. old auditor or new auditor and if no then the reason for that?

Due to Dispute & Court case between directors
My company not able to Finalize Financial Statements & Hold AGM within Time Limit prescribed in Sec 166 & 210 for the Financial Year ended 2011-12.

Now the days Court case has been settled & Managing Director has vacated his office in Dec 2012.New MD has been appointed.

Please provide the solution of below Points.
1. Who can sign Annual Accounts at present.
2. How we can hold AGM because AGM not held
in time.
3. Any Intimation to ROC required or not.
4. Any other Consequences like Penalty etc.

Please clarify my following doubt:
A Pvt Ltd and B Pvt Ltd enter into a contract on 01/04/2011 for sale and purchase. The term of the contract is for 3 years. Mr. X who is a director of A Pvt Ltd is appointed as director of B pvt Ltd on 15/04/2011. He becomes an interested director. Does this require Board's/Central Government Approval? Please let me know if there is any department circular/clarification for applicability of Section 297 for existing contract.

I'm incorporating a new company.The registered office of the Proposed company will be shared with the existing company, whose director will also be the director of the proposed company. There is a lease agreement b/w the Lessor and the latter company. My query is Whether NOC has to be received from the latter company or from the lessor.

If, premises owned by Director 'Point(c) Lease/Rent Agreement' is not clear that with whom this agreement is made by the director and any specimen copy of this agreement is attached with your answer, then it will very much helpful for me.
