15 March 2013 Is it possible that in a pvt ltd co.presently 2 director & both are Additional Director ?
Sir, your reply is helpful for me but practically due date of AGM is pass out.then we can file form 32 in back date for the same ?

15 March 2013 Yes it's possible and in Next AGM or EGM AD will regularise by the Members

Very much possible that a company have only additional director, but the tenure of such AD is till the date of upcoming AGM.

I will suggest you to regularise the both director before the AGM and comply the provision of section 252 of the Companies Act, 1956 to maintain the minimum two directors of the company.
