1. Can a LLP firm with the activity of online commodity trading, pay fixed returns ranging from 8% to 12%, in advance for a period of 1,2 or 5 years, as per choice of their Limited Silent Partners, who are the investing partners of the firm, and will be silent partners in profit only, with no liability for losses if any & no role in the management of the LLP?
2. We see ads on TV by SEBI that it is illegal to promise fixed returns on investments, why is this so and does it apply to partners of an LLP, if formed with this written condition?
My doubt/query is that, if an LLP is formed with the above mentioned earlier condition written in the agreement deed, depending upon the limited silent partner's choice, will it violate the above SEBI's law or any other law of India?
Requesting answers to the above, as I'm a senior commodity trader with over 13 years of experience in the markets and want to start an LLP firm for this, with interested individuals, with minimum investments of Rs 1 lakh and above.

If any private limited did not file MGT-14 for the special resolution passed in the EGM held in the year 2019. Then what will be the consequences of not filing the form MGT-14 to ROC ??
OR
Is there any lawful remedy for saving the company from heavy penalties ??
Can limit under section 186 of the Companies Act 2013 be calculated monthly ??
Or is it mandatory that this limit shall be calculated annually ??

Is the certified statement of account for strike off like a normal statutory audit?
Can it be certified by a CA other than CA appointed as statutory auditor of company ? (I.e, other than statutory auditor)?
Our AOA contains the clause of COMMON SEAL to be affixed in presence of 2 directors and authorised signatory or cs. But as per Companies Amendment the clause of Common Seal has been removed. My query is even if the company has not carried out the alteration in the Aoa for above ammendment, then the Companies Amendment shall prevail the present AOA? Or the AOA has to be ammended ? Please advise

My DIN was deactivated during the 2016 purge, And the current status is Deactivated due to non-filing of DIR-3 KYC. I wanted to Incorporate a new company and prior to that get my DIN activated. Since I don't have access to the old number and email of Business User MCA.
A Professional was given this task and its been 20 plus days its not been done, All i hear is V3 issues, Mobile showing Null, cannot associate dsc since old info is there etc.
I wanted to know, How can there be no recourse to someone not having access to half a decade old info. So what is the remedy here to get my DIN DSC activated and ready. I want the New details associated to my DIN & DSC on MCA.
Kindly let me know how this can be done.
