How does a director resign from the board in a Pvt. Ltd., firm if the Board fails to accepts his resignation ?

I have to form ABC pvt. ltd. co.My question is
1. Can an another pvt.ltd. co. say XYZ Pvt. Ltd. be promoter of ABC pvt. ltd. ?
2. If yes, who will sign on subscribers page of MOA and AOA and whose digital will be attached in Forms?
3. It is our plan to make ABC Pvt. Ltd. a wholly owned subsidiary of XYZ Pvt. Ltd. which will promote it. So at the time of incorporation, is it possible to make XYZ Pvt. Ltd. a promoter of 99.99% in ABC Pvt. Ltd. and one more individual as promoter.
4. Another individual who will be promoter is already director of XYZ Pvt. Ltd. , will it create any problem ?

i want to ask, what is the process to make a company 100 % subsidiary of another company from date of incorporation ?Both the companies are pvt. ltd. co.

The auditor of a Pvt Ltd Co paid up cap( Rs 1.0 lacs) failed to submit Form 23B within 30 days of last AGM but continued in office and audited Books of current period.

Pl advise as to what should be filled in "SRN of Form 23B" while filing Form 23AC?

I want to know what are the special reasons for granting extension to conduct AGM in the application with ROC.

One of the Public Company(defunct company) is not holding AGM for the last 3 years. Now they have decided to hold AGM.
Question: Is is right to say to register that yes we are not holding AGM for last 3 year now we have decided to hold.
Is it necessary for the company to show that yes they are holding AGM in the past 3 years irrespective of the fact that annual return is not filed.
What will be the consequences of not holding AGM. Is there any penalty for that.
Company wants to take benefit of ongoing circular benefit.

As per section 269,in case od public company, managing director can be reappointed without the approval of central govt if conditiond of part I and Part II of sch XIII are complied.

in case condition of part I of schedule XIII are complied means not made any default.and we do not want to pay any remuneration to md, pl explain on the followings:-
1. whether md can be reappointed on without remuneration while on earlier term of 5 years which is going to expire now, he was taking remuneration.
2. if yes, in case no remuneration is to be paid whether part II of schedule XIII would not apply.
3.in case no remuneration is to be paisd, whether compliance of part i of schedule XIII would mean compliance of section 269 and approval of central govt would not be required

In case if books of accounts can not be finalized before the 30th September, can we hold the AGM to comply with the provisions of section 166 of the Companies Act, 1956 and adjourn it due to non finalization accounts get it approved in the adjourn meeting.

I m registering an Employment consultancy under cos act please provide me the objectives for MoA.
