A Private Limited has to add An Object in to main object by replacing it from the Ancillary objects.
So for that any Special Resolution required to passed in the General Meeting? OR If Company has passed Special Resolution in Board Meeting then it is sufficient for that?

A public company is regular in all its compliances and has not defaulted in any area but still it wants to take the advantage of EES 2011, how this company can make itself defunct to take the advantage of this scheme.

Non Resident to form a (p) ltd Company

Can a Non Resident Indian Form a private Limited Indian company in India for Manufacturing any item under following cases.

1. He is Shareholder in the company along with other share holders who are resident Indians.

2. He is Also Drector in the company along with other drectors who are Indian resident.

If No, under which Sections/Clause of
which act/rule.

Loans query

Dear All,

I have two queries :-

1) Whether a Company can give loan to other company with out interest.

2) And another query is that Company B has already borrowed loan from another Company A - whether Company B can ratify its borrowings by passing a resolution in the subsequent meeting of its Board.

My company is a listed company. the promoter shareholding was 72%. one of the individual promoter had died and his shares had gone to his wife, who is already into the promoter group.

The wife of the deceased promoter had transferred a portion of those shares to her daughter (minor child) and mother-in-law.

The mother-in-law is already into the promoter group holding shares. All the shares in question are in physical form.

My query is:-
1. whether to show the minor daughter under promoter group or not?
2. what should be the shareholding of the mother-in-law? whether the transferred shares be clubbed and shown under promoter quota or the transferred portion be shown separately under individual (non-promoter) group?
3. whether on such a transfer, the promoter shareholding be shown as reduced?

Please suggest and explain the law relating to this.
