What is company?

Sitting fees is payable to all directors -Executive,non executive,Chairman & Managing Director?
or only to non executive is allowed?

what procedure a comapny (Public Company , not listed) has to follow if it had accepted an Unsecured loan form Directors?

Hello,
1 of client want to float a company in india with both non resident directors. I guess it is allowed but since we are receiving share application money from abroad what registration to be applied for this.

I hv filed form 1A for name approval with 3 promoters ( Proposed first subscriber to MOA).
I received name approval from ROC.
Now i hv to filed Form 1 for Registration of Company with 4 promoters.
My query is should i filed the same with 4 promoters
If yes, is there any different procedure to follow
if not, then what is the procedure for filing Form 1 with 4 promoters.

if company declares dividend on 7/09/2010 for the year ending 2009-10...agm date is 29/09/2010. and record date is 22/09/2010 but in between the record date and 31/03/2010,the paid up capital of the company is increased,then company pay the dividend on the paid up capital which is on the record date or on the paid up capital which is on 31/03/2010.....what we consider and whats the reason behind dat....
