Amendments

When are the new amendments of Company Law is going to Take place. I have purchased the new book of munish bahandari yesterday and my attempt is in Nov 2013 is it preferable to purchase the book now or at some other time

A company is not in operation since 2006 and has not filed any accounts/annual return/DIN3 since 2006. The MCA portal is showing status of the Company as " Under process of striking off". Now the directors of the company want to revive the company and file all pending forms. While filing application to ROC in Form 61 for making the status as 'ACTIVE', the MCA portal is not accepting the same saying only companies with 'DORMANT' status can apply in Form 61. How to proceed in this matter.

Query in annual return

Dear Friends & Experts,

ABC Private Limited has two directors, who are foreign nationals.

These two foreign directors have 100% holding in the company.

Query

While filling the Annual Return - VIII. Equity Share Capital Breakup (Percentage of Total Equity) -

Should I fill their 100% holding under the category 'Directors / Relatives of Directors'

or

Should I fill under the category 'Foreign Holdings'

Ans : ..............

Kindly tell me the appropriate category to fill in the Annual Return.

Conversion of loan into equity

a Listed company has defaulted in payment of its dues. the bank has sought coversion of loan into equity. however the company has not responded to the said conversion nor acted upon. whether the bank can apporach SEBi/ Exchange with regard to the said inaction of the Company apart from RBi and High Court? Please guide

Loan from public by public ltd co.

All,

What are the ways in which a Unlisted Public Ltd Co. can borrow money ? Whether it can borrow from general public without giving them any voting rights/ share.Can it borrow money from general public in form of unsecured loans.

1. what would be applicable rate of stamp duty in case of transfer of shares through gift deed...whether 0.25% as applicable in case of transfer of shares or 5% of consideration aqmount as applicable on transfer through gift?

2. What would be the mode of payment of stamp duty in above case when the amount of stamp duty is huge...

Company law - nil voting rights

Can private company issue shares with Nil Voting rights? Only participation is required for dividend and other matters other than voting rights.

Certificate of incorporation

Dear Sir

I have registered a company in the name of ABC Pvt Ltd.

Now I want to change the name of the company as XYZ pvt Ltd for which i have filed form 1A for change of name and it got approved from the ROC office.

Please suggest me whether i have to file some more form for getting new certificate of incorporation and if yes which form?
