In context to one of my client Public Limited Company(in which all the share holders are relatives of the directors)having paid up capital of Rs. 68.21 lacs and Reserve of Rs. 315.90 Lacs, long term loans of Rs. 53.00 Lacs.

I want to Know whether schedule XIII of the companies act is applicable?
if yes, then what is the maximum limit of monthly Directors Remuneration?
Further, I want to know the as per part II of the schedule XIII of the Companies Act, what is the maximum monthly Sealing?


Kindly guide me in this matter.

I applied for the name availability in form 1A , name as "watez sky private limited", the form was not digitally signed by practicing professional so the application was transferred to the backend ROC, and he rejected the name by giving unjustified reasons.

Now I want to know if I again apply in from 1A with same name and with signature of the professional and pay fresh fees of INR 1000, will the system automatically approve the same name?

Taking a situation wherein in unlisted public Company I have to allot equity shares on preferential basis to 70 shareholders.

Any offering of securities to 50 persons or more is a public offering by virtue of Section 67(3) of the Companies Act, 1956.

Therefore I am showing two EGM for passing special resolution by the members authorizing the board of directors to make such issue.

However gap between two EGM is of 15 days. Supported by shorter consent of all shareholders.

My question is am I right to follow said procedure or there is any better way to do it.

what the diff. between special business and ordinary business and
special resolution and ordinary resolution.
Suppose if we pass an ordinar resol. as a special business in an agm of the appointment of whole time director with the highest salary, then is it necessary to file form 23 and then form 25c.or we pass it as an special resolution and then file a following forms, which one is perfect. please clear my doubt i am confused over here.Also, exactly when to file a form 23 for a special business or special resolution.

A company alotted convertible preference shares in the BM and one of the allottees got the shares converted into equity in the same meeting. Is it legally ok?
