In my case, A private Co is formed by 4 Individuals & subscribed MOA & AOA. One of them, Mr X is now having issue with others. Mr X has not paid any amount as paid up capital
In this situation
1) Can We ask Mr X to sign from Directorship & Shareholding via a letter?
2) Since there was no amount paid by him, Can we ask him to mention in the letter “inability" & resign?
3) Do we require Transfer deed here? In this case, Co is started in November 2011 & MR X has not made any payments till today for capital. He is default

I need a draft of letter for resignation of a person from membership ( shareholding) or Do we need to execute a transfer deed in this case even though Mr X is not paid his share of money as paid up capital

Any one Please clarify that if a miscellaneous expenditure has policy to w/off with in 5 year then as per revised schedule VI disclosure of this as follows:

1) Portion of Misc expenditure w/off within next 12 months shown in other current assets.

2) and the rest of portion as non current assets.

Am i right or the whole amount should be shown as non current assets.

My other query is that like as on 01.04.2010 balance of Misc exp- 15000/- w/off during F.Y 10-11 - 5000/- op balance as on 01.04.2011 = 10000/- w/off during F.Y 11-12= 5000/- Balance as on 31.03.2012=5000/-
Now my question is that whether in previous year column of B.S, Misc Expenditure shown as Non current asset and in Current Year shown as current asset

Formation of a company

Dear Experts,

We need to register a company… The background is as under;

1. Actually there is a company already in existence in USA.

2. They are into servicing customers of IBM for two of IBM products.

3. The service is for installing and redressal of queries by the customers…..

4. For this purpose, the company wants to hire people in India and train them.

What will be better, a branch office of the foreign LLC or an Indian company registered. Please suggest..

Dear Friends,

Please tell me about the changes regarding rounding off to nearest rupee 100 or decimal thereof with some examples

Let say i have a figure RS. 1,32,534 how it can be presented in revised schedule VI.

i am a student of CA Final and my attempt is due in november 2013, I am Planning to join Law classes now from Mr. Rajesh Tayal in Eten please help me know whether i am taking the right decision. Since my attempt is in nov13 should i study Law now as there are 80% chances of amendments.

Annual general meeting

WHAT ARE THE REMEDIES DOES THE COMPANY HAS IF HE CAN'T HELD ITS FIRST AGM (ANNUAL GENERAL MEETING) WITHIN 18 MONTHS OF ITS INCORPORATION & SECONDLY IS THERE ANY WAY OUT SO CAN WE DOESN'T REQUIRED TO PAY THE PENALTY?

Annual return-challan query

Form of Annual Return to be filed with the ROC in an electronic mode within 60 days of the date of holding of the General Meeting.
Form 20B for filing Annual Return by a company having a share capital with the Registrar to be filed within 60 days from the date of holding AGM.
Whether both of the above return are same? if the company suffice any one of the above requirement. is there any non compliance?

Depreciation on idle assets

Can depreciation under companies act be claimed on assets being idle (since no production activity took place during the year)?
