Acceptance of deposits

Dear Experts,

Kind Attn : Mr. Ankur Garg

I see many companies offering attractive returns on moneys collected by them (they say that the money invested will double in 5 years to be exact).

One such company's representatives persuaded me to make an investment decision and hence i did some due diligence work on the Company on the MCA -21 portal.

I was shocked to find that in the Auditors Report, the Auditor has stated that the Company has not accepted any deposits under section 58A of the Companies Act, 1956 ( I personally know some people who have been investing in that company for about 3 years as a Recurring Deposit of Rs 1000 per month).

On scrutiny of all the available data of the Company in the MCA -21 site, I found that the Company in its financial statements, never expressed its intention to accept public deposits.

Further the reason why the Company became popular among the people was that the commission it offered to one who collected the deposit.

Now let me ask you one thing, what is the fate of those who invested in the Company ?

Is there any competent authority to whom an official complaint can be lodged so as to protect the investors interest before it becomes a case of embezzlement of public money ?

what is the purpose of schedules in company act 1956
what does it contains.
how many schedules are there.
why schedule-vi is important.
which schedule has been amended recently and why.

Hi, is there any limit on payment of salary to the directors of a pvt limited company? If yes, what is the limit?

Secondly, are there any additional conditions as per the companies act which needs to be complied to before payment of salary to the directors of the pvt ltd company?

Hello everyone,

one of our client want to form a private ltd company with 50 members.

capital of the company will be rs.100000.

after incorporation all these members will bring further money into the business and that will be shown as loan.

is their any problem in it. can ROC raise any objection since the number of members are large ?

Declaration u/s 274(1)(g)

Whether the declaration u/s 274(1)(g) is required to be obtained from the Directors, who have resigned during the year ?

Disclosure of interest in form 24aa

Whether a director, who has resigned from the Board is required to give notice in form 24AA.

For eg. Company X has 3 directors, namely A, B and C. All of them had given notice in form 24AA on 31/03/11. Director C resigned on 31/08/11. Whether C is required to give notice in form 24AA as at 31/03/2012.

Auditor insisting on the notice from directors, who have already resigned. Please guide?

Transfer of share of a pvt company ?

Hello everyone,

Mr.X & Mrs. X stated a pvt ltd co. on 30/06/2010.with paid up capital rs.100000 divided into 10000 shares. both are holding 5000 shares.

now in the month of june 2012 mr. X & mrs. x decided to go to foreign country permanently.

Instead of winding up the company they sold the company to Mr. A & Mrs. A for Rs.50000/-.

Now they have come to me to complete the formalities so the Mr.X & Mrs.x can leave india.

kindly let me know step by step detailed procedure (also format of share transfer and form 7B) for transfering the shares in the name of Mr.A & Mrs. B.

I looked in MCA website but i was unable to find form 7B.

Dear All,

A ltd company was incorporated in April, 2011 having 3 directors.

Later on two directors were appointed as additional directors in November, 2011. Following which two earlier directors resigned.

The company was left with one normal director and two additional directors.

Now in February, 2012, again one director was appointed as additional director, following which the normal director resigned from his office.

Now the company is left with 3 additional directors. Is this correct to have only additional directors.

What should be done now. The company being a limited company has also not held the statutory meeting within 6 months from incorporation.

Please help...
