There is a one private Limited Company in which 2 promoters and they are directors.
One promoter/director want to resigne the company and a new person want to become promotor and director of the company.
the existing promoter and a new promotor want to change company name and its object clause.

my question are
Which are the forms I have to file to ROC?
can existing promotor and director resigne before change of name or object clause of company?
can new promotor enter?
Can I have to attched NO OBJECTION CERTIFICATE from existing promotor who wnt to resigned with form 1a?
Can I change name and object clause at the same time in one form 1a?
When I am making new moa and aoa new promotor can subscribe the same?

In how many committee a member can be a committee member at a time in one company?

the Ministry vide circular number 31/2012 dated 28/09/2012 has extended the due date for filing Form 23B without additional fee for accounting year 2012-13 upto 23/12/2012 or due date of filing whichever is later.

ALSO the Ministry vide circular number 30/2012 dated 28/09/2012 has further extended the due date for filing Form 23AC and Form 23ACA in non XBRL mode in the following manner:

Company holding AGM or whose due date of holding AGM is on or before 20.09.2012, time limit will be 3rd November, 2012 or due date of filing, whichever is later.

Company holding AGM or whose due date of holding AGM is on or after 21.09.2012, time limit will be 22nd November, 2012 or due date of filing, whichever is later.

I have received more than two crore rupees from UAE through FICR (foreign remittance) I have to allot equity share against them. will it be through discount cash flow method. I intend to form an LLP. Form 2 was approved on 28/09/2012 and incorporation certificate was obtained on the same day.

But LLP Agreement was made on 10/09/2012.

Please clarify whether I have to make a fresh LLP agreement or the same can be filed in form 3.

I have resubmitted E Form-1 for incorporation of company.My problem lies that i opened the old form and removed old AOA and MOA,attached new one with rectification,checked form for any error,Affix digital signature,did prescrutiny and file it directly without closing that file in desktop.

i am confused whether the old file is again submitted?
