Can a company pay remuneration to its managing director when its effective
capital is negative ?
The Directors of a private Company are appointed since the time of its incorporation and they all are relatives of each other? Does sec. 314 applies in this case?
& if the Board decides to pay remuneration to one of such Director now? how is section 314 applicable... Kindly reply asap

There are 3 Directors in a Pvt Ltd Company. One director is granted leave of absence and one is interested in a one of the resolution. Can Board Pass that resolution.

there is one query regarding MD remuneration :
The company is Limited COmapny having paid up capital of Rs. 25,07,000. The company yet not confirmed abt the remuneration given to that particular managing director and now I want to know what is the maximum remuneration comapny can give to that md as per schedule XIII of the companies act,1956 because we have to file form number 23 and 25C in which remuneration of managing director requires to disclose.
And also confirm me that if company will file remuneration of MD is Rs. 75000p.m. and in actual give 60000 p.m. then their is any problem as per the act.

A Whole time director was appointed in a PRIVATE LTD company in 2003 for a period of 5 years i.e. up to 2008. In 2008 no resolution was passed by the board for the reappointment and he is still signing as a wholetime director of the company. please advice me on how to deal with it.
