Can anyone guide me on this issue, one pvt ltd co incorporated on 28th Feb 2012, now the company need to appoint its first auditor within one month of the incorporation. my query is whether in the first board meeting which is held on 29th march 2012, the auditors will be appointed for the F.Y. 2011-2012 or the company can appoint auditors from the date of incorporation till march 2013.
The company is not going to held its AGM for 2012.
Plz reply on urgent basis.

Will the provisions of deemed dividend be attracted if one pvt. ltd. co. gives loan to another related (common shareholders) pvt. ltd. co. and the interest has been charged as per the prevailing market rates.

1) Whether DIN-3 is required to file?
2) If a persona Appointed as Additional Director then how he/she can be re appointed as permanent Director in Next AGM?
3) If Company Wants to appoint a person as Permanent Director then what is Procedure?
Company is Private Limited Company and Its AoA contains Clause of Appointment of Additional Director.
We are a Private Limited Company a Subsidiary of a U.K. based Company. We have two Directors out of which one is in India Office and the Other is in U.K.

in a Private Company (subsidiary of public company) there are 4 Directors ( 2 Additional and 2 normal).
how many will be the Directors retiring by rotation?
Also, in in a Private Company (subsidiary of public company) there are 2 Directors both are First Directors not liable to retire as per AOA.
