06 November 2012 Kindly help me on the following Issue.
1) Whether DIN-3 is required to file?
2) If a persona Appointed as Additional Director then how he/she can be re appointed as permanent Director in Next AGM?
3) If Company Wants to appoint a person as Permanent Director then what is Procedure?

Company is Private Limited Company and Its AoA contains Clause of Appointment of Additional Director.

If you are appointing director/additional director on or after 01.07.2012 then no need to file DIN-3.

If you appointed any person as additional director before the AGM then you can regularise such director as on AGM or on General Meeting before AGM as per section 257 of the Companies Act, 1956.

If your company.s article permit you can appoint a person as whole time director of the company.
