Hi friends I am new here so please bear with me, here is situation, I am going to invest in a pvt. ltd. company of my friend which was formed in 2010 but not doing any major business activity till date. It has 2 founding shareholders as directors. They are also going to do a fresh investment into it. We deciced to investment equal amount of money and My wife will be appointed as one of the 2 director of the company. (one present director will resign), Now my questions is: What is the more secure and better way for me to invest in it, as our accountant had suggested 2 options, one is buying the shares equal to the amount invested after calculating the per share value and second is that I can invest in it by giving a loan to director (my wife) at agreed rate of intrest and period thus without having any share in the company. I want to know which is the better and secure option for me, giving loan or buying equity, what the legalities involved. Do I need to look into MOA & AOA of the company for this. One thing more, me and my firend both are going to work together for the growth of company and also will exanpd in coming years.

1.I HV APPLIED FOR NAME APPROVAL OF A NEW CO.i.e SAY ABC LTD.IN FORM NO.1A and the same was approved by ROC office.But by mistake I have selected the class of co. as "PRIVATE" instead of "PUBLIC".Paid up capital mentioned as Rs.1 lac

2.same mistake was again done in form no.1 i.e. here again I have selected the class of co.as "PRIVATE" instaed of "PUBLIC".This time I have mentioned the paid up capital as Rs.5 Lac & accirdingly I have paid the ROCF fees on Rs.5 Lac i.e.Rs.17,200/- for formation of new LTD co.

3.Now I got the certificate of Incorporation where in it is shown that the company is PRIVATE LIMITED

whereas I want that the class of co be "PUBLIC" IN CERTIFICATE OF INCORPOIRATION INSTAED OF "PRIVATE".SO PLEASE HELP ME OUT SO THAT I WILL GET NEW CERTIFICATE OF INCORPORATION WITH THE CLASS OF CO.AS 'public"co.

ROC mistake:-

apporoved the name ABC LTD as private ltd.

i am registering DSC at MCA site. bt It Shows Error that "Digital Signature Varification failed or your CA is not trusted. and Please Ensure That your system Setting are as per MCA Guidelines." Please Suggest some solution for it...

n please ensure that if i was register DSC with WINDOWS-7 then i enable to register DSc.. bt i cant register DSC with Windows Xp.

Dear Sir,
We are a pvt ltd company, suddenly our auditor has resigned (i.e. on 29 september), as we had shortage of time to hold AGM,so conveyed a BoD meeting (all the directors are member also) to appoint the auditor.(meanwhile we got extension of time to hold AGM till December.
Auditor is appointed at BoD meeting(all the director are shareholders also)where 74% director was present.
now can this appointment of auditor is void if same is rectified in AGM.

Under sec. 293 (1) (3) what shall be included in the amount of total borrowing made by the Company, is it inclusive of both long term & short term borrowings & can a borrowing limit set by the Company in the year 2009 in GM can the same be limit be now followed...??

I recently took a DIN Number and by mistake interchanged last name and middle name.

I wrote "Agarwal " In middle name in place of last name wrongly and "Kumar" in last name in place of middle name wrongly.

Now is there any problem regarding this and what can be done to solve this problem?

we hv a pvt ltd & ltd co.having paid up capital above Rs.5 crores,so as per companies act we need to appoint a whole time company secretary.We have given paper advertisement in hindi as well as english edition.But we have not got suitable canditate for this CS post.So now we want to appoint a CS firm to look after all the company secretarial jobs as retainership basis.My question is it accetable to appoint C S firm retainership is valid under co's act.

I HAVE SUBMITTED FORM 1A IN WHICH THE COMPANY
NAME WRITTEN WAS GLOBE ROVER PRIVATE LIMITED.
NOW THEY HAVE SENT IT BACK FOR RESUBMISSION BY STATING THAT ROVER IS A REGISTERED TRADEMARK. NOW I WANT TO KNOW THAT IF I WANT TO INCORPORATE A XYZ PVT LTD, HOW WOULD I COME TO KNOW WHETHER XYZ IS REGISTERED TRADEMARK OR NOT.
