In a partnership firm, there are only two partners and one of them wants to retire. In his place a new partner would be admited. Is single deed is valid for the above matter i.e admission and retirement. or should we draft two deed separately. IF single deed is valid than first should go for admission or retirement. and last question is what will be the value of stamp paper for such partnership deed. Thanking you in advance !!!

I want to register llp of my client they are total five partner , out of these 5 , one partner will give 15 lakhs Rs. to llp but will not take active part in business so other partners decided that they will admit that 5th partner for capital purpose only and they do not want to give any other rights to that 5th partner, once his capital is repaid they will remove him from llp.

Will such clause valid in llp deed?
