Ist balance sheet & agm

Dear All

Please help me on following:

One of my client is pvt. ltd. co. incorporated on 08.12.2008 could not file its accounts till today. Now it wants to file ROC returns.

What should be first financial year & when should first AGM be held.

Cllause 41 of the listing agreement.

Can any one tell me that it is compulsory to file a Quartely results of clause 41 of listing agreement of a public listed company in a newspaper, please reply its urgent.

Company law-additional director

Sir,

in unlisted private limited company one director is appointed as on 23.12.2010 and annual return was filed for the year ended 2010-11 without appointing him as additional Director and his name is included in annual return. now,what should do? revised form 20B can be filed?

Hw to establish ngo ???

i want to know how to start a ngo..

actually the objective of the ngo is gng to be something like ...

1.we want to help old people
2.we want to educate the rural people regarding importance of education.
3.we want to plant more and more trees keeping in view greenrevolution.

nw my question is regarding hw to start and hw much could be the initial expense..
