Hello everyone,

one of my client started a restaurant on 01/7/2013 in partnership. A brought Rs.10 lacs and Mr. B brought in Rs.10 lacs. Both will share profits equally.

Now i have to draft their partnership deed.

My question :
should i show their capital as 20 lacs total or show less capital because stamp duty will be more if i show more capital ?

waiting for the views of the experts.

Remuneration committee

Dear Sir,

My Company is Unlisted public Company. So Please let me know whether existing executive Director can form remuneration Committee by appointing himself as a member of Remuneration Committee or they have to appoint Non-Executive Director by Filing Form 32.
And in addition to above whether it is necessary for non-executive director to become members of the Company.

Partnership deed

Can partners sign partnership deed at two different places viz. one partner is outside india can he sign deed from there and deliver to other partner in india for signing......Whether it is allowed that partners are not present in person at the place where partnership is formed........ can they sign deed at their respective places using word "signed & delivered by"?

Section 283 of companies act 1956

Dear All,

There is a clause in Section 283 which is written below,can any body help me to get understood this clause...

(2) Notwithstanding anything in clauses (d), (e) and (j) of sub- section (1), the disqualification referred to in those clauses shall not take effect-
(a) for thirty days from the date of the adjudication, sentence or order;
(b) where any appeal or petition is preferred within the thirty days aforesaid against the adjudication, sentence or conviction resulting in the sentence, or order until the expiry of seven days from the date on which such appeal or petition is disposed of; or
(c) where within seven days aforesaid, any further appeal or petition is preferred in respect of the adjudication, sentence, conviction, or order, and the appeal or petition, if allowed, would result in the removal of the disquali- fication, until such further appeal or petition is disposed of.

This clause is not much clear to me.

Ngo registration

A client of mine has started a non-profit organisation. There are 4-5 co-founders. They are based in Delhi. They wish to register their NGO. What is the procedure for doing the same? They will not be handling large cash donations. They seek the most convenient option for the same.
