Can anyone provide any summary notes on winding up for final

As per Section- 147 of the Companies Act, 1956. If a Company fail to paint and affix it name and address of its registered office, on the outside of every office or place in which its business carried on, the Company and the every officer of the Company shall punishable with fine.
So, can any one tell me that against that defaulted Company any person can lodge a complain or only some specified person ?

The X co. holding in Z co., will be treated as indirect holding only right?
