Rbi policy for investment by nri's

Hi,

An NRI want to invest in the shares and debt of a company which is engaged in the business of agriculture (mainly plantation). The NRI has an address in India and is proposing to transfer the money from from his Indian bank account (SB a/c or NRO a/c) as per the advice of the banker.

Can he follow this procedure.

What are proceudres to be followed by the company while accepting such an investment.

Please advice.

what are pledged/encumbered and non encumbered shares. Why are they reported in the balance sheet.

I have seen an ad for pension scheme it was i think for SBI, there was a confusion in that about Account type Tier 1 and Tier 2 what is that can anyone explain, and for pension schemes which AMC is best

My company offers ESPP at a 15% discount. Every one some part of the salary after tax gets deducted as a contribution to ESPP corpus. At the end of the six months the stock are purchased at 15% discount of Market Price.The company is listed in US Stock Exchange?
I am not sure how the ESPP are taxed for stocks listed in US in short term and long term

Kindly send advice me on the below:-
I am trading in shares. Last year i purchased a share at 100 and revalued the same at 80 during the end of the year since we value closing stock at cost or NRV whichever is less. Now if i sale it in current year, what will be the cost of the share Rs. 100 or Rs. 80? Plz reply asap
