13 May 2015 can a Managing Director be directly appointed in AGM without any Board Approval, if so what's the procedure for the same.

14 May 2015 The appointment of a managing director and the terms and conditions of appointment
and remuneration payable must be first approved by the Board of directors at a meeting and then by an ordinary resolution passed at a general meeting of the company.
