Procedure for appointment of director
First of all check the articles of company regarding appointment of director
Check weather person proposed to be appointed as director is having DIN or not as per section 152(3)
obtain consent to act as Director in form DIR 2
cOVENE A bOARD MEETING AND PASS BOARD RESOLUTION FOR APPOINTMENT OF DIRECTOR OR DIRECTOR CAN BE APPOINTED BY PASSING RESOLUTION BY CIRCULATION
ENSURE THAT CONSENT OF DIRECTOR AND DECLARATION OF DIRECTOR HAS BEEN RECEIVED IN FORM MBP 1 ALONG WITH ( DIR 2 AND DIR 8)
COMPANY HAS TO FILE FORM DIR 12 WITHIN 30 DAYS OF BOARD MEETING IN FORM DIR 12 ALONG WITH FOLLOWING ATTACHMENTS

Yes, for appointment of director , as per section 152(2), which STATES that save as otherwise expressly provided in this act, every Director shall be appinted by Company in General Meeting.( EGM)
bUT IF YOU FIRST WANT TO APPOINT ADDITIONAL DIRECTOR, THEN FIRST HOLD THE BOARD MEETING AND THEN REGULARISE SUCH DIRECTOR IN FORTHCOMING AGM OF THE COMPANY.
