What are the forms required and time limit to be filled for such appointment,and whether board meeting through circulation is enough for such resolution?

Private companies with paid up capital of Rs. 5 crore or more- Will be required to appoint a wholetime CS, who will serve as a KMP of the company
Private companies with paid up Capital of less Rs. 5 crore- Will not be required to appoint any KMP
File DIR-12 within 30 days of appointment
Appointment can't be done through circular resolution
