According to section 161(1), following is the procedure for appointment of additional Director
First of all check the article weather it contains the provision of appointment of additional director
Hold the board meeting and pass board resolution for appointment of additional director
such a director shall hold the office till the forthcoming AGM of the Company and at AGM either such Director can be regularised to either Executive or Non executive Director of the Company
File Form DIR 12 within 30 days of appointment of Additional Director
attachments :
consent to act as Director in DIR 2
Appointment letter of appointment of Director
certified true copy of resolution passed at the meeting of Directors
