11 January 2015 Whether we have to file two MGT-14 in case of appointment of additional director, i.e. one MGT-14 for appointment and another for Disclosure of Interest in MBP-1 ??

12 January 2015 In case of appointment of additional director no need to file MGT 14

MGT 14 is required to be filed for filing of Board resoltuion for noting of discloure of interest received from additional director

12 January 2015 Sir, it means I do not require to file MGT14 for appointment rather I have to file for disclosure of interest.

12 January 2015 If I have appointed Add. Director in Nov.2014 then I can hold board meeting in Jan,2015 or there is any day limit for collecting of disclosure of interest from upcoming director

12 January 2015 As per the provisions of Section 184 and Section 189(2) of the Companies Act, 2013,every director shall at the first meeting of the Board in which he participates as a director disclose his concern or interest in any company or companies or bodies corporate.

Although the statutory provisions under Section 184 nowhere mentions the requirement of disclosure at the time of
appointment of the Director, However, Form DIR-12 (Form for Intimation for the appointment and resignation etc. of directors)require the Director to disclose his concern or interest.

Therefore for the better Compliance, the company should take Disclosure pursuant to section 184(1) from the Director in
Form No. MBP-1 at the time of his appointment
