Dear All,
I want to appoint my executive Director as Managing director of the Company as my present MD is resigning from his office place.
Please let me know the procedure/checklist to do the same. It is for the Listed Company.

1) Pass a Board Resolution
2) File form 32, within 30 days of appt.
3) File form 23, within 30 days of passing of resolution
4) File form 25C, within 90 days of appt.
5) Pass an ordinary or special resolution(if the AOA specifies so) at the General Meeting
6) If the appointment is not in accordance with Schedule XIII, make an application to Central Government by filing Form 25A within 90 days from the date of such appointment.
