Amendment in moa

26 July 2011 in a private limited co. there is a change of share holder ..out of 4 share holders, 1 left his capital is acquired by others equally,
my question is do they require to amend Memorandum of association(MOA)and get it reprinted....?????
if yes , then please tell me procedure...

26 July 2011 I assume that these 4 shareholders are subscribers to the Memorandum and Articles of Association of the Company and when there is transfer of sharholding then there is not need to amend the MOA as it is mere a transfer of shareholding for which you have to fill up transfer deed and logde the transfer in repective share certificate.

There is no such need for MOA Alteration for such share transfer.

27 July 2011 Continuing the experts, the required form for transfer of shares is form 7B.

27 July 2011 Thanks 4 avice.i have been informed by a practising cs in my town that no need to file 7b. only a simple share transfer form has to be filled duly affixed special share transfer tickets.
