Hi,
The company is a JV, Public Unlisted Company. JV Agreement states all directors to be present for Board meetings. Next Meeting is in abroad. One of the director due to preoccupation wants to appoint alternate director only for a period of one month. Is this valid

Check the provisions contained in your articles. Since JV agreement states all directors to be present for board meetings, there must be some provisions relating to appointment of alternate director in case of inability of the original director to attend the meeting.
If the articles do not contain any such provision then subject to resolution passed by the company in general meeting alternate director can be appointed.
