06 August 2014 what is the practical procedure to change the main object of moa as per companies act 2013.
do we have to just file MGT-14 in mca for the same?

06 August 2014 PROCEDURE FOR CHANGE OF OBJECT CLAUSE

1. Call Board Meeting

(a) to get approval of directors for change of object.
(b) to approve the notice of EGM for shareholder approval for change of object

2. Hold EGM and pass Special Resolution for change of object

3. File MGT14 within 30 days of passing special resolution with following attachment
(a) Notice of EGM
(b) Certified true copy of special resolution
(c) Altered MOA
(D)Certified true copy of board resolution as optional attachment

11 August 2014 Thank u sir ..for the very useful information . Also I would like to know that my Company has MOA in old format , i.e as per co. act 1956. So while submitting the altered MOA do we have to revise the whole MOA as per Companies Act 2013 along with the new object clause.

11 August 2014 Dear ankita,

Re-adoption of entire set of MOA and AOA is not at all required. For AOA see section 5(9).

However it is advisable to adopt new set of AOA for administrative convenience. You may continue as of now as there is no urgency to amend.
