Adjournment of AGM because of unavalibility of Accounts

22 June 2011 A Private Ltd company did not lay it's Annual Accounts in it's AGM for the year ending 31.3.10 as the accounts were not audited.The company wanted to change the auditor but the auditor gave a no objection certificate in March 2011 only(as there was some dispute between the two). Till date the audit has not been done for the year ending 31.3.10 & hence the accounts have not been laid in the AGM. No permission was sought from the ROC for adjourning the AGM(as the accounts have not been laid) for the year ending 31.3.10.Please give a solution which will help the company to comply with statutory requirements regarding holding of the AGM & laying the Accounts in the AGM.

22 June 2011 The AGM should have been hold within time limit that is 30th September,2010 and should have been adjourned. the adjourned AGM then should have been convened when the accounts were ready.
