01 October 2010 RBI Guideline for issue of NCD by a company including NBFC.(Circular No. 2009-10/505)In which refer point 8.2 states that the auditors of the company shall certify all the eligibility criteria.
What should be the exact contents of the certificate ..

Dear Friend

Point 8 of Issuance of Non-Convertible Debentures (Reserve Bank) Directions 2010 deal with procedure for issue of NCD.

In point no. 8(2) an auditor will issue a certificate that the company has issued NCD in accordance with Non-Convertible Debentures (Reserve Bank) Directions, 2010.
