Vacation of office of directorship

19 January 2016 According to SS-1, The office of a Director shall become vacant in case the Director absents himself from all the Meetings of the Board held during a period of twelve months with or without seeking leave of absence of the Board.
My query is that Is it apply on original director?? If he could not attend atleast one board meeting. but alternate director attend all board meeting... then his (original director) directorship automatically vacates or not..

19 January 2016 Mr. Ritesh,

As per Section 167 (1)(be) The office of director shall become vacant if "he" absent "himself" from all the Meeting of BOD held during the period of 12 Month.

Therefore, it is mandatory for the original director to attend atleast a meeting within 12 month. if he dont do so his directorship will be vacant.
