1. Date on which last director signed and approved subject to Quorum,
or
2. Date on which majority directors signed and approved,
which ever is earlier.
Ref:- M.C.Bhandhari( practical notes) "the resolution will be deemed to have been passed on the date 1. on which it is signed and dated as approved by all the directors then in INDIA , being not less than Quorum or 2. on the date on which it is approved by the majority of th directors entiltled to vote on the resolution whichever is earlier."

Sir, thanks for ur reply....but i am of the opinion that the date on which the resolution is approved and signed by the majority of Directors will always be earlier than the date on which it is signed and approved by all the Directors in India. It means it shall be effective from the date on which it is signed by the majority of Directors. What if the 4 Directors vote for and 4 against the resolution?
