08 November 2012 We are a private ltd. co. not a subidary of any public ltd. co.

Out of our existing 3 directors. We want to appoint all the three directors as whole time directors w.e.f. 01/04/2012.

Please tell us the compliances of form filings with the ROC w.r.t. above. Moreover any compliances required.

Yes, you can appoint all director as WTD.

For appointment of WTD in pvt. ltd., you can file :

Form-32
Form-25C

Form-23 is not required to file for appointment of WTD it is only required for MD.

Generally the provisions of Companies Act, 1956 relating to appointment of WTD is not applicable to private limited company. But I will suggest you to file above forms as a good corporate practice.
