i have incorporated a company kindly guide me regarding the further procedure for appointment of auditors and allotment of share certificate and how should i go about it please reply????
1. Who can be a witness for MOA & AOA?
Any adult person can be a witness to the signing of the Memorandum of Association (MOA) and Articles of Association (AOA).
It does not have to be a professional (like a Chartered Accountant, Company Secretary, or Advocate).
The witness simply confirms that the subscriber signed the documents in their presence.
2. Do subscribers need to sign all pages or only the last page of MOA/AOA?
As per the common practice and guidelines, subscribers are required to sign only on the last page of the MOA and AOA.
The signatures on all pages are not mandatory.
This is consistent with MCA's general procedural norms and accepted company law practice.
3. Are Articles of Association (AOA) same for all companies?
No, the AOA can vary from company to company.
Many companies use standard or model AOAs provided under the Companies Act (like Table A for private companies), but companies can customize AOAs according to their requirements.
Hence, AOAs may not be the same for all companies.
4. Attachments of INC-7: Forms 8, 9 & 10 and stamp paper requirements
Forms 8 and 9 (Declaration and Affidavit) need to be printed on stamp paper.
The value of stamp paper depends on the state, usually ₹10, ₹20, or ₹50 stamp paper is common.
Form 10 (Verification) can be printed on plain paper.
You should verify the stamp duty rates applicable in your state for MOA/AOA related documents.
5. Extension of name reservation
Name reservation is valid for 60 days only.
It cannot be extended or renewed.
If the name reservation expires, you must apply afresh for a new name reservation.
You cannot file INC-7 without an approved name.
6. Post-incorporation procedure
Appointment of auditors:
Board of Directors must appoint the first auditor within 30 days of incorporation via a Board Resolution.
Share certificates:
Allot shares to subscribers as per the MoA and issue share certificates within 2 months.
Proper minutes should be recorded for both these steps.
