Requirement of Board Resolution for Rent Deed by a Company Is Board Resolution Required? Yes, generally a Board Resolution is required before entering into a rent agreement for office premises by a company. This is because the Board of Directors must authorize the company to enter into such agreements as part of the company’s business decisions.
Purpose of the Resolution
To approve the terms and conditions of the rent agreement.
To authorize a designated person (e.g., Director or Company Secretary) to sign and execute the rent deed on behalf of the company.
Timing of the Resolution The resolution should be passed before or at the time of executing the rent deed, confirming the company’s approval.
Filing with ROC (Registrar of Companies)
The Board Resolution for entering into a rent deed is not required to be filed with the ROC.
However, if the rent deed involves immovable property leased for more than 3 years, it might require registration with the local authorities as per the Stamp Act and Registration Act, but this is separate from ROC filings.
Only certain resolutions related to borrowing, issuing shares, or related-party transactions need mandatory filing with ROC.
