06 July 2012 KINDLY GUIED ME ON FOLLOWING CASE

Can we hel general meeting six monts latter to pass special resolution for increase in remneration of Whole time director(Remuneration is within limit of Schedule xiii)

remmuneration payable effective date 01/04/2012 so in that cas can we held agm on 30/09/2012??

what is the effect if members approve Remuneration after six monts form the effective payable date??

Yes, you can pay remuneration retrospectively but you can not appoint him retrospectively.

In case remuneration, it is liberty to company to pay remuneration retrospectively.
