06 July 2012 KINDLY PLEASE GUIED ME ON FOLLOWING CASE:

FOR THE YEAR 01/04/2010-31/03/2011 WHOLETIME DIRECTOR HAD BEEN
APPOINTED WITH RS 75000.

NOW FOR 01/04/2011-31/03/2012 MANAGEMENT WANT TO INCREASE wtd'S REMUNERATION TO 1,10,000(WHICH IS WITHIN LIMIT OF sCHEDUAL XIII)

MY QUESTION IS CAN WE PASS SPECIAL RESOLUTION IN AGM THAT IS 30/09/2012??

CAN SHARE HOLDER PASS 6 MONTHS BACK EFFECTIVE REMUNERATION??

Yes, you can do so. Approval of the company in general meeting can take subsequently. I have deal same matter with CG approval.
