Regarding resolution disapproved

01 October 2012 Do we need to provide about those resolution in our minutes if the resolution are disapproved by the Board?

and do we need to put the resolution in the minutes of AGM if business is given as agenda in the notice but it is not discussed in the AGM.

Please provide your feedback.

In case of resolution passed in Board Meeting:

In minutes you just give commentary that the resolution mentioned in agenda was disapproved by board and no need to mentioned the resolution in minutes. As per my under standing resolution will be mentioned in minutes if it is passed by board otherwise you only take note the discussion on it.


In case of Resolution of General Meeting:


If the resolution is given in agenda but if it is not given in Notice of General meeting the you can do so otherwise not.
