i have a doubt in pvirate ltd, my friend as started a pvtd ltd firm past year,all formalities as been finished.but still now he has not started is business,due to a misunderstanding between the pvtd ltd concerned vendor.he has not even got is mom and article of asscoiation form him. now he wanted to cancel the pvtd ltd or he can transfer the shares for his new company (both are same business)is there any problem in future for not starting the pvtd ltd.

please let me know when the copmany is incorporated ?.
if he want to strike of the co name in ROC
U/section 560 will applicable.
or if he want to sell the co he need to transfer the entire shares. to the new person. and file form -32 resignation for the current director.
