16 January 2013 One of our client has changed its registered office outside the local limits but within the same registrar, for this we have to file form 23? If yes then please guide us which option is to be selected in point no 6(e) i.e.
Indicate the authority passing or agreeing to the resolution

Section 146(2) deal with filing of Form 18 with ROC within 30 days from the date of change and if such change is outside the local limit of any city, town or village then in that case file Form 23 regarding passing of special resolution for such changes.

You will mention in 6(e): Shareholders
and in 6(f) special resolution.
