If any Private Co. had issued shares to its director 4 years back, till shares are not issued to him. Plz tell me what can be the reason for this delay if i have to give a note as per new schedule VI and Co. is not answerable

In private limited company shares are alloted in Board meeting. I will suggest you to ask the reason for not alloting the shares.
