In the MGT-9 form, the shareholding pattern is categorized into different sections based on the nature and category of shareholders. Given your scenario:
1. **Original Subscribers to MOA:** - Mr. X: 200 shares - Mr. Y: 100 shares - Mr. Z: 100 shares
2. **After Transfer:** - Mr. X: Transferred 50 shares to Mr. F and 150 shares to Mrs. D - New Shareholders: - Mr. F: 50 shares - Mrs. D: 150 shares
### **MGT-9 Shareholding Pattern Categories:**
1. **Promoters – Indian – Individuals** - This category includes the original promoters and their shareholding. Since Mr. X, Mr. Y, and Mr. Z were original subscribers to the MOA and are considered promoters, they should be listed here with their respective shareholding before the transfer.
2. **Public – Non-Institutions – Individuals** - This category includes all other shareholders who are not categorized under the promoters and do not fall under institutional investors. Since Mr. F and Mrs. D are not subscribers to the MOA and are new shareholders, they would be listed here.
### **Filling MGT-9:**
- **Part A: Promoters – Indian – Individuals** - List the original subscribers who were promoters at the time of incorporation: - Mr. X: 200 shares - Mr. Y: 100 shares - Mr. Z: 100 shares
- **Part B: Public – Non-Institutions – Individuals** - List the new shareholders after the transfer: - Mr. F: 50 shares - Mrs. D: 150 shares
### **Explanation:** - **Promoters** are typically those who are part of the company’s incorporation and initial shareholding, and who were involved in setting up the company. They are usually listed in Part A, regardless of whether they have transferred shares later. - **Public – Non-Institutions** category is where the new shareholders (Mr. F and Mrs. D) will be listed since they acquired shares from a promoter and are not part of the original promoters.
This classification ensures that the shareholding pattern reflects the correct ownership structure, including both the original promoters and the new shareholders who are part of the public/non-institutional category.
