09 July 2011 can anyone please provide me with a resolution authorizing a company to enter into a limited liability partnership.i will be very gratefull if anyone could help me out.

09 July 2011 You can use this after making necessary modifications,,

WHEREAS: the Company has proposed, and this Board of Directors finds that it is in the Company's interest, to enter into and form a general partnership with ^XYZ LLP in order to provide for their joint investment and participation of the Company and ^XYZ LLP. in a business of _________ in the area of ______;
NOW THEREFORE BE IT RESOLVED: that the Company, as a general partner, enter into a general partnership with ^XYZ LLP., such partnership to be known as "_____LLP" on the terms, covenants, and conditions set forth in that certain LLP Agreement (hereinafter referred to as the "Agreement") dated____, 20___, between the Company and ^XYZ LLP., attached hereto and incorporated by reference herein.
FURTHER RESOLVED: that the MR. ________ , Director of the Company be and he is hereby authorized and directed for and on behalf of the Company, as a general partner of said partnership, to execute and deliver the Agreement; and the Secretary or an Assistant Secretary of the Company be and he is hereby authorized and directed to affix the seal of the Company to the Agreement and to attest same for and on behalf of the Company.
