Liability of a company secretary

26 October 2012 Dear Experts,

Is a newly appointed Company Secretary is liable to rectify the past defaults of the Company whether known or unknown??

Not an urgent one but I consider it very important.

Yes, you can do so, but you will not be eligible to sign such rectified documents.

26 October 2012 Ok. One can do it. But if knowingly or unknowingly if one don't rectify it then liability will arise or not?
