25 February 2012 I want to regiser a pvt. ltd. company.And for the same i would like to ascertain the fees to be paid to registrar for registration. I want authorised capital to be Rs 1 crore and subscribed capital to be Rs 10 lacs only. As far as Schedule 10 is concerned it says that registrar fees is based on nominal share capital. But some experts say that it will be based on Authorised capital.Please provide me the correct solution to this.

If you are incorporating a company with Authorised Capital of Rs. 1 Crore the total Registration fee of ROC will be:

1. Memorandum Rs. 1,55,000
2. Articles Rs. 500/-
3. Form-1 Rs. 500/-
4. Form-18 Rs. 500/-
5. Form-32 Rs. 500/-

Total will be Rs. 1,58,000/-

The total fee will be decide on the basis of Authorised Capital at the time of incorporation.

27 February 2012 Total ROC Fees to be paid for Incorporation of Company is based on Authorized capital, which in your case will be as under;

STAMP DUTY FEES;

Form 1- Rs. 100/-
MOA- Rs. 200/-
AOA- Rs. 20,000/-

TOTAL - Rs. 20,300/-

ROC FEES;

Fee For Form18 - Rs. 500.00
Fee For Form1 -Rs. 500.00
MoA -Rs. 156,000.00
AoA - Rs. 500.00
Fee For Form32 -Rs. 500.00

Total-Rs. 158,000.00
